Nick McElhinny represents business clients in a variety of matters, including buying and selling established businesses, cross-border transactions, forming new businesses, corporate governance, regulatory compliance (including issues related to the corporate practice of medicine), complex commercial transactions, and other business law matters.
In addition to representing buyers and sellers in M&A (mergers and acquisitions) transactions, he also assists clients with making pre-merger notification filings to the Federal Trade Commission and Department of Justice under the Hart-Scott-Rodino (“HSR”) Antitrust Improvements Act of 1976.
Nick also represents educational clients, including public school academies and charter management organizations, in connection with board governance matters, contract negotiation, day-to-day operational issues, and special or unusual legal issues that arise.
Nick has served an extended in-house assignment at a major Tier-1 automotive supplier. In that capacity, he advised on commercial and operational matters including acquisitions, purchase and supply contracts, terms and conditions, joint development agreements, and equipment purchases and sales.
Nick is a member of the State Bar of Michigan and its Business Law, Antitrust, Franchising & Trade Regulation, International Law, and Real Property Law Sections. He is also a member of the American Bar Association and its Business Law and Antitrust Law Sections.
He attended Wayne State University Law School, where he earned numerous academic honors and awards. While attending law school, he also served as managing editor and assistant editor of the Wayne Law Review and interned for a semester in the chambers of Judge Helene White of the U.S. Sixth Circuit Court of Appeals.
